Nevile Curmi and Curmi & Partners send a Right of Reply over Hart Caital

Neville Curmi and Curmi & Partners have sent a right of reply over my article about Hart Capital: a junkish company that has issued junk bonds at the Malta Stock Exchange via Curmi & Partners.

Basically, Neville Curmi and Curmi & Partners have denied any business involvement with Hart Capital. Hart Capital Partners registered in Malta is owned by Christon Jon Burrows, but the self-claimed solicitor is just a front for other persons. Hart Capital (UK) is directed by Alex Tanti and Jon Burrows.

They also said that the company registered in Malta (Hart Capital) is not involved in property development unlike the other Hart Capital companies abroad. According to the Right of Reply, the bond issue was for a pool of debt that is managed by Hart Capital (Malta): basically junk finance business and that’s why retail clients are lured by a “7%” interest rate.

We refer to an article appearing on your blog markcamilleri.org, in which you have

mentioned Neville Curmi, and Curmi & Partners Limited, in the context of a bond issue

by Hart Capital Partners (Europe) Plc.

In this context Curmi & Partners Limited are exercising the right of reply in terms of

article 15 of the Media and Defamation Act (Cap.579 of the Laws of Malta) and formally

request the publication of this letter, with the same prominence given to your original

article, to rectify the inaccuracies contained in you blog and to ensure that the details

published on this blog are accurate and complete. Curmi & Partners Limited believe

that by providing a comprehensive view readers are properly empowered to form their

own judgments.

Since Curmi & Partners Limited are in the business of managing clients assets, we

understand that we, along with other banks and financial advisors/brokers, should be

scrutinised more than normal companies, and that accordingly we are also the object

of criticism. We have absolutely no issue with that, provided that any criticism it is

complete and accurate.

Curmi & Partners Limited acted as Placement Agent and Manager for the €3,000,000

7.25% Secured Callable Bonds 2025 – 2027 bond issue by Hart Capital Partners (Europe)

Plc (“the Issuer”) on the Prospects MTF market of the Malta Stock Exchange, as it has

done for numerous issuers over the years in accordance with the terms of its investment

services license.

Mr. Neville Curmi had no involvement with the mentioned bond issue whatsoever at the

time of the issue and has no involvement, past or present, nor is he contemplating any

involvement with the Issuer or related entities or any of the underlying developments that

each of these entities may be involved in. Moreover, Mr. Curmi has no knowledge,

business, nor personal relationship with the Issuer, its ultimate beneficial owners, or

directors.

The Issuer is a holding and finance vehicle set up to fund a portfolio of third-party loan

assets. It does not develop property. According to the disclosures made by the Issuer, as

part of its ongoing regulatory obligations, its financial performance is in line with that

outlined in the Company Admission Document, a document approved by the Malta Stock

Exchange and published on 20 October 2022.

licensed by the MFSA to provide investment services. These services authorise us to act

as a broker, adviser or manager. All our services are scrutinised by the MFSA with whom

we maintain an open and transparent relationship.

    They are correct in stating that Hart Capital (Europe) plc itself is not directly involved in building projects. However, their one and only client, their own subsidiary, Hart Capital Partners (UK) absolutely is. The two companies form part of the same Group, and issue joint financial statements.     the Auditors Report (on page 3) under Principal risks and uncertainties states: The Companys main asset consists of the loan receivable from its subsidiary and hence the Company is economically dependent on the business prospects of Hart Capital Partners (UK) Limited. Consequently, the operating results of the subsidiary have a direct effect on the companys financial position and performance, including the ability of the Company to service its payment obligations under the issued bonds.

    In their ROT they also state Curmi & Partners Limited acted as Placement Agent and Manager for the Fund. But, Mr Neville Curmi states that he has no knowledge, business, nor personal relationship with the Issuer, its ultimate beneficial owners, or directors. Maybe not personal, if one is to believe him. But this statement carefully excludes Curmi & Partners. What about them? And what about the legal obligation of licenced financial institutions such as Curmi & Partners to know your client? Acting as Placement Agent and Manager makes Hart their client. The issuing prospectus contained wholesale inaccuracies which a diligent fund promoter could easily have checked out.

    Furthermore, what about the both legal and moral obligation for a financial institution, which, as they say is licensed by the MFSA to provide investment services. These services authorise us to act as a broker, adviser or manager to act in the best financial interests of the clients to whom they sell these bonds? To sell only bonds that are a legitimate sound investment to their clients, especially clients who are vulnerable.

    When acting both as a promoter on behalf of the bond issuer, and financial adviser to clients, they are acting as manufacturer, wholesaler and retailer.

    On a final note, as of today, Hart Capital (UK) are in default of filing accounts, although no doubt now that this has been flagged they will rush to do so. https://find-and-update.company-information.service.gov.uk/company/13528148
