HSBC Malta says it has no satisfactory offers right now

In a statement posted publicly earlier today, HSBC Malta said that it has received no satisfactory offers for the sale of the bank after APS Bank submitted a bid. The sale is being adjudicated by HSBC Malta’s major shareholder, HSBC Continental Europe.

Sources in the finance industry that spoke to this website said that a foreign entity submitted a bid alongside APS Bank, but we could verify these claims.

APS Bank has been the only entity so far that it publicly admitted of submitting a bid.

    Dear Mr Camilleri,

    I am writing with reference to the article published on The Maltese Herald titled ‘HSBC Malta says it has no satisfactory offers right now.’

    In the article, you refer to the Company Announcement that was published earlier this morning, incorrectly stating that โ€œHSBC Malta said that it has received no satisfactory offers for the sale of the bank after APS Bank submitted a bid.โ€

    In the Company Announcement, HSBC Bank Malta p.l.c. (HSBC Malta) confirmed that:

    1. HSBC Malta signed a confidentiality agreement with HSBC Continental Europe (HBCE), its majority shareholder, on 24 February 2025;
    2. HSBC Malta is now in the process of signing confidentiality agreements with a number of prospective offerors and will be proceeding to furnish information to them in confidence so that they can conduct due diligence on HSBC Malta;
    3. HSBC Holdings plc has informed HSBC Malta that there is no preferred offeror and that the process remains at an early stage;
    4. Any potential transaction would require regulatory approval from both the MFSA and the European Central Bank, a process that would be expected to take several months from entry into any binding agreement.

    The Company Announcement does not state that HSBC Bank Malta p.l.c. โ€œhas received no satisfactory offers for the sale of the bank after APS Bank submitted a bid.โ€

    In the interest of factual rapportage, it would be greatly appreciated if you could kindly rectify accordingly.

    Thank you for your kind attention.

    Kind Regards
    Carine
